1.Agreement and acceptance
These Terms of Service (the "Terms") form a binding agreement between Pikorua Security Private Limited, a private limited company incorporated in India ("Pikorua Security", "we", "us"), and the organization that signs an Order Form or creates a workspace ("Customer" or "you"). By creating an account, starting a trial or using the Service, you accept these Terms on behalf of that organization and confirm that you have authority to bind it.
If you and Pikorua Security have signed a master subscription agreement, that agreement controls where it conflicts with these Terms. Otherwise, the order of precedence is: the Order Form, the Data Processing Addendum, these Terms, and then our documentation.
2.Definitions
- Service means the Pikorua Security web application, APIs, mobile apps, broker and vendor upload links, integrations and related documentation.
- Customer Data means data you, your Users, your vendors or their brokers submit to the Service, including Certificates of Insurance, endorsement pages, contract insurance exhibits, vendor records and broker contact details.
- Users means the employees and contractors you authorize to use your workspace in the Project Manager, Risk Manager, Accountant or Admin roles.
- Broker Guests means vendors and insurance brokers who reach a limited upload page through a link, without a full account.
- Verification Results means the extracted fields, compliance statuses, deficiency flags, notices and reports the Service produces from Customer Data.
- Order Form means the online checkout or signed order that sets out your plan, vendor tier, subscription term and fees.
3.The Service and your free trial
We will provide the Service in line with these Terms, your Order Form and our documentation, and we will maintain the security program described in our Security Policy.
New customers may use a 14-day free production trial. During the trial you can process real certificates and connect integrations. When the trial ends, the workspace converts to the plan you choose or becomes read-only. If you do not subscribe within 30 days after the trial ends, we delete the trial workspace and its data.
We improve the Service continuously. We will not make a change that materially reduces the core functionality of your plan during your current subscription term.
4.Accounts, users and broker guests
You are responsible for your Users' activity, for keeping credentials confidential and for assigning roles and permissions appropriately. Tell us promptly at security@pikoruasecurity.com if you suspect unauthorized access.
Each User login is for one named individual and may not be shared. Enterprise workspaces may require sign-in through SAML single sign-on and may provision Users through SCIM.
Broker Guests can upload documents and read the deficiency notice addressed to them. They cannot see other vendors, your contracts, your settings or your audit log.
5.Customer Data
You own Customer Data. You grant Pikorua Security a worldwide, non-exclusive, limited license to host, copy, process, transmit and display Customer Data only to provide, secure and support the Service and as described in the Data Processing Addendum.
You confirm that you have the rights, notices and consents needed to submit Customer Data, including vendor taxpayer identification numbers and broker contact details, and to instruct us to send deficiency notices and renewal requests to vendors and brokers on your behalf.
No model training. We will not use Customer Data to train or fine-tune machine learning models, whether for us or for anyone else.
Aggregated statistics. We may compile de-identified, aggregated statistics about use of the Service, such as how often a particular endorsement is missing, that do not identify you, your vendors or any individual. We own those statistics and may publish them.
Export and deletion. You may export Customer Data at any time during your subscription. After termination you have 30 days to export, after which we delete it as described in our Privacy Policy and the Data Processing Addendum.
6.What Pikorua Security is, and what it is not
Pikorua Security is software that compares insurance documents with the requirements you set. You should understand its limits before you rely on it.
- Not legal advice. Pikorua Security does not provide legal advice. Model contract clauses, endorsement guides and rule templates are general information. Whether a requirement suits your contracts, your jurisdiction or a particular project is a question for your own counsel.
- Not an insurance agency or broker. Pikorua Security is not licensed as an insurance producer, agency or broker. We do not sell, solicit, negotiate, bind or underwrite insurance, we do not recommend insurers or coverage, and we do not act on behalf of any insurer.
- Not a claims adjuster. We do not adjust, investigate or settle claims, and we do not decide whether a policy responds to a loss. Tender packets the Service assembles are documents for you and your counsel to use.
- A certificate confers no rights. A Certificate of Insurance is issued as a matter of information only and confers no rights upon the certificate holder. Coverage is determined by the policy itself, including its endorsements, conditions and exclusions. A finding that a certificate and its endorsements match your requirements does not guarantee that coverage exists or that it will respond to a particular claim.
7.Automated verification and your review
The Service uses document AI and rules to extract data and identify deficiencies. Automated extraction can be wrong: a scan may be illegible, a broker may attach the wrong edition of a form, a manuscript endorsement may use non-standard wording, or a policy may be cancelled after a certificate is issued.
You remain responsible for:
- setting requirements that reflect your actual contracts, leases and purchase orders;
- reviewing Verification Results before relying on them, especially items the Service marks as low confidence or routes to manual review;
- obtaining and reviewing full policy wording where your contracts or your risk profile call for it; and
- every decision you make, including approving a vendor, granting a waiver, holding or releasing a payment, and granting or blocking site access. The Service carries out the holds and locks you configure; the decision to configure them is yours.
Accuracy figures we publish, such as our endorsement verification accuracy across ISO forms, describe measured performance across our customer base. They are not a warranty about any individual document.
8.Acceptable use
You will not, and will not allow anyone using your workspace to:
- upload data you have no right to process, or upload malware;
- probe, scan or test the Service for vulnerabilities, except under our responsible disclosure program described on our Security page;
- reverse engineer, decompile or copy the Service, or use it to build a competing product;
- resell, sublicense or provide the Service to third parties, other than your affiliates and Broker Guests as intended;
- use the Service to send unsolicited messages or to harass vendors or brokers;
- exceed published rate limits or interfere with other customers' use; or
- use the Service in violation of law, including US export control and sanctions laws.
We may suspend access that poses a security risk or breaches this section. We will give you notice and a chance to fix the problem first unless the risk is immediate.
9.Third-party services and integrations
The Service connects to systems such as Procore, Autodesk Construction Cloud, CMiC, Yardi Voyager, AppFolio, RealPage and jobsite access-control platforms. Your use of those systems is governed by your agreements with their providers. When you connect one, you authorize us to exchange the data the integration needs. We are not responsible for a third-party system's availability, for changes to its API or for its handling of data after it receives it.
Insurer information shown in the Service, such as financial strength ratings, comes from third-party sources and is accurate only as of the date it was retrieved.
10.Fees, billing and renewal
Fees are set out in your Order Form and on our pricing page. Plans are priced by the number of active vendors per year. Endorsement pages are never charged as extra documents.
Annual plans are billed annually in advance and monthly plans monthly in advance. Unless either party gives notice of non-renewal at least 30 days before the end of the current term, subscriptions renew for a term of the same length. We give at least 60 days' notice of any price increase, which takes effect at your next renewal.
If your active vendor count exceeds your tier, we will tell you, and you may move to the next tier or archive inactive vendors. We do not charge overage fees without your written agreement.
Fees exclude taxes, which you are responsible for, other than taxes on our income. Undisputed amounts unpaid 30 days after the due date may accrue interest at 1% per month or the highest lawful rate, if lower, and we may suspend the Service after 15 days' written notice. Fees are non-refundable except as these Terms state.
11.Confidentiality
Each party will protect the other's Confidential Information with at least reasonable care, use it only to perform under these Terms, and disclose it only to employees, contractors and advisers who need to know it and are bound by similar obligations. Confidential Information does not include information that is public through no fault of the recipient, already known to it, independently developed or rightfully received from a third party. A party may disclose Confidential Information when the law requires, after giving notice where permitted. Customer Data is your Confidential Information.
12.Intellectual property and feedback
Pikorua Security owns the Service, including its software, models, rule libraries, endorsement library, documentation and trademarks. Except for the rights expressly granted in these Terms, no rights transfer to you. You may use our model contract clauses in your own contracts. If you give us feedback, we may use it without obligation to you.
We will not name you as a customer, use your logo or quote your staff without your written approval.
13.Support and service levels
Support is available through the in-app help center, by email to support@pikoruasecurity.com and by toll-free phone at 1800-425-0619, 24 hours a day, Monday to Friday. Enterprise customers receive the service level agreement and response times set out in their Order Form. Live system status is published on our status page.
14.Warranties and disclaimers
Each party warrants that it has authority to enter into these Terms. We warrant that, during your subscription term, the Service will perform materially as described in our documentation and that we will not materially weaken its overall security. Your exclusive remedy for breach of this warranty is for us to correct the non-conformity or, if we cannot do so within 30 days, for either party to terminate the affected subscription and for us to refund prepaid fees for the remaining term.
Except as expressly stated in these Terms, the Service and Verification Results are provided "as is" and "as available", and Pikorua Security disclaims all other warranties, express or implied, including merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Service will be error-free or uninterrupted, that it will detect every deficiency, or that any insurance policy provides the coverage a certificate or endorsement describes.
15.Indemnification
We will defend you against any third-party claim alleging that the Service infringes a US patent, copyright or trademark or misappropriates a trade secret, and pay the damages finally awarded or agreed in settlement. This does not cover claims arising from Customer Data, third-party systems, or your modification of the Service or its combination with items we did not provide. If the Service is or may be found to infringe, we may modify it, obtain a license or terminate the affected subscription and refund prepaid fees for the remaining term.
You will defend us against any third-party claim arising from Customer Data, from your instructions to send notices or apply holds, or from your breach of the acceptable use section, and pay the damages finally awarded or agreed in settlement.
The party seeking defense must give prompt written notice, give the defending party sole control of the defense and settlement, and cooperate reasonably.
16.Limitation of liability
Neither party will be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, or the cost of substitute services, even if advised that they were possible.
Each party's total liability arising out of or relating to these Terms will not exceed the fees paid and payable by you to Pikorua Security in the 12 months before the event giving rise to the claim. During a free trial, our total liability is $100.
Pikorua Security is not liable for uninsured or under-insured losses, denied or rejected tenders, self-insured retentions, deductibles or premium increases arising from a vendor's insurance program. The coverage decision belongs to the insurer, and the contract and acceptance decisions belong to you.
These limits do not apply to your payment obligations, to either party's indemnification obligations, to liability for fraud, gross negligence or willful misconduct, or to the extent the law does not permit liability to be limited. For breach of our data protection and security obligations under the Data Processing Addendum, our total liability is capped at two times the fees paid and payable in the 12 months before the event giving rise to the claim.
17.Term, suspension and termination
These Terms apply from the date you accept them until all subscriptions end. Either party may terminate for a material breach that is not cured within 30 days of written notice, or immediately if the other party becomes insolvent. If you terminate for our breach, we refund prepaid fees for the remaining term.
When the agreement ends, your right to use the Service ends, you have 30 days to export Customer Data, and any provisions that by their nature should survive will survive, including fees owed, confidentiality, disclaimers, limitation of liability and governing law.
18.Governing law and disputes
These Terms are governed by the laws of India, without regard to conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Any dispute that is not resolved by escalation will be finally settled by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator, seated in New Delhi and conducted in English. Subject to arbitration, the courts at Delhi have exclusive jurisdiction.
Before filing a claim, each party will try in good faith to resolve the dispute by escalating it to senior executives for 30 days. Either party may seek injunctive relief to protect its intellectual property or Confidential Information in any court of competent jurisdiction. Nothing in this section limits either party's right to seek interim relief under section 9 of the Arbitration and Conciliation Act, 1996.
19.General terms
- Assignment. Neither party may assign these Terms without the other's consent, except to a successor in a merger, acquisition or sale of substantially all of its assets, with written notice.
- Force majeure. Neither party is liable for delay caused by events beyond its reasonable control, such as natural disasters, war, labor actions or failures of public utilities or networks, other than delays in payment.
- Notices. Legal notices to Pikorua Security go to legal@pikoruasecurity.com with a copy to our registered office in Delhi. We send notices to the email address of your workspace administrator.
- Relationship. The parties are independent contractors. Nothing in these Terms creates a partnership, agency or fiduciary relationship.
- US Government users. The Service is commercial computer software provided under these Terms, as described in FAR 12.212 and DFARS 227.7202.
- Changes. We may update these Terms by posting a new version with at least 30 days' notice of material changes. Changes do not apply to a signed master subscription agreement unless both parties agree in writing.
- Entire agreement. These Terms, your Order Form and the Data Processing Addendum are the entire agreement on their subject. If a provision is unenforceable, the rest remains in effect. A failure to enforce a provision is not a waiver.
